Exclusions from ConfidentialityThis Agreement does not apply to information which: 4.1 Was publicly known at the time of disclosure or becomes publicly known through no fault of the Recipient4.2 Is lawfully received from a third party without breach of any obligation4.3 Is independently developed by the Recipient without reference to Company’s Confidential Information4.4 Is required to be disclosed by law, provided the Company is given reasonable notice—5. DurationThis Agreement shall remain in effect:During the period of engagement/employmentFor three (3) years after termination of the relationship, or longer if mandated by applicable law or contract—6. Return or Destruction of InformationUpon termination of the relationship, the Recipient must immediately return or securely destroy all confidential materials in their possession and confirm the same in writing.—7. No License or OwnershipNothing in this Agreement shall be construed as granting any license or ownership rights to the Recipient.—8. Injunctive ReliefThe Recipient agrees that any breach may cause irreparable harm to the Company for which monetary damages may be inadequate, and the Company shall be entitled to seek injunctive relief.—9. Governing Law and JurisdictionThis Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Vijayawada, Andhra Pradesh.—10.
